These Terms of Service ("Terms") govern your access to and use of the services provided by Songxin Partners Limited ("we," "us," or "our") through our website www.songxinpartners.com (the "Site"). By accessing or using our Site or services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our services. If you are using our services on behalf of a company, you represent that you have authority to bind that company to these Terms.

2.1 Description of Services

Songxin Partners provides cross-border business intelligence and advisory services, including but not limited to:

  • Business Verification Reports: Company registration checks, due diligence reports
  • Market Entry Advisory: Guidance for foreign companies entering the Chinese market, including Hong Kong business environment advisory
  • Intellectual Property Support: Trademark search and consultation services (official filing handled by licensed Chinese trademark agents)
  • Document Verification: Authenticity verification of Chinese business documents
  • On-Site Audits: Factory and business premises audits (where applicable)

2.2 Nature of Our Services

IMPORTANT NOTICE: Our services are provided for business verification and intelligence purposes only. Our reports:

  • Are based on publicly available information from official Chinese sources (SAMR, China Judgments Online, Customs, Trademark Office, etc.)
  • Represent our analysis as of the date of the report
  • Do NOT constitute legal advice, financial advice, or professional opinions
  • Should NOT be relied upon as the sole basis for business decisions
  • Are subject to change as underlying data sources update

You acknowledge that information retrieved from official Chinese sources may be subject to updates, corrections, or changes after the date of our report. We do not guarantee the ongoing accuracy of information beyond the report date.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Termination

We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms.

4. Orders, Payment, and Delivery

4.1 Pricing

Prices for our services are listed on our Pricing Page and are quoted in U.S. Dollars (USD). Prices may change at any time, but changes will not affect orders already placed.

4.2 Order Acceptance

Your order is accepted when we send you an order confirmation email. We reserve the right to refuse or cancel orders for any reason, including: suspected fraud; errors in pricing or service description; inability to deliver due to source data limitations.

4.3 Payment

Payment is due at the time of order placement unless otherwise agreed in writing. We accept:

  • Credit/debit cards (via Stripe)
  • PayPal
  • Telegraphic Transfer

You agree to provide valid payment information and authorize us to charge your payment method for all fees and applicable taxes.

4.4 Delivery

  • Standard Reports: Delivered within 24–72 hours of order confirmation (business days)
  • Enhanced Due Diligence Reports: Delivered within 3–5 business days
  • Complex Advisory Services: Delivery timeline as agreed in the service agreement

Delivery is made electronically via email or secure download link.

4.5 Late Delivery

If we fail to deliver within the stated timeline due to our fault, please contact us to discuss resolution options. Late delivery does not automatically entitle you to a refund.

5. Refunds and Cancellations

5.1 General Policy

Due to the customized nature of our research services, all sales are generally non-refundable once work has commenced.

5.2 Exceptions

We will consider refund requests in the following circumstances:

  • Service Not Delivered: We fail to deliver the report within 30 days of order confirmation
  • Material Errors: The report contains demonstrable material errors attributable to our negligence (not source data updates)
  • Duplicate Orders: Accidental duplicate orders confirmed within 48 hours

5.3 Refund Process

To request a refund, contact us at hello@songxinpartners.com within 14 days of delivery. We will review and respond within 7 business days.

6. Intellectual Property

6.1 Our Intellectual Property

All content on our Site, including text, graphics, logos, images, sample reports, and software, is owned by Songxin Partners or our licensors and protected by intellectual property laws.

6.2 License to Use Reports

Upon full payment, we grant you a non-exclusive, non-transferable, revocable license to use the delivered report for your internal business purposes. You may NOT:

  • Resell or redistribute the report
  • Publish the report publicly
  • Use the report for derivative commercial products

6.3 Trademarks

"Songxin Partners," "SP," and our logo are trademarks of Songxin Partners Limited. You may not use them without our written permission.

7. User Conduct

You agree NOT to:

  • Provide false or misleading information in orders or inquiries
  • Use our services for illegal purposes or in violation of any laws
  • Attempt to interfere with the security or functionality of our Site
  • Scrape, crawl, or use automated tools to access our Site without permission
  • Resell or commercially exploit our services without authorization
  • Submit queries about individuals for purposes of harassment or stalking

8. Third-Party Services

8.1 Trademark and Registration Services

For services requiring official filing with Chinese authorities (e.g., trademark registration, company formation), we work with licensed Chinese trademark agents and registration service providers. You acknowledge that:

  • Official filing is handled by our licensed partner agencies, not by Songxin Partners directly
  • Government processing times and outcomes are beyond our control
  • Government fees are separate from our service fees

8.2 Payment Processors

Payments are processed by third-party providers (Stripe, PayPal). Your use of these services is subject to their respective terms and privacy policies.

8.3 External Data Sources

Our reports rely on data from official Chinese sources. We do not guarantee the accuracy, completeness, or timeliness of such third-party data.

9. Disclaimers and Limitations of Liability

9.1 Service "AS IS"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Outcomes

We do not guarantee that:

  • Information in our reports is error-free
  • Our recommendations will lead to specific business outcomes
  • Chinese authorities will approve any application submitted through our partners
  • The subject of any verification report is free from undisclosed risks

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Our total liability for any claim arising from or related to our services shall not exceed the amount you paid for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption. We shall not be liable for damages arising from your reliance on third-party data sources.

9.4 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: your violation of these Terms; your misuse of our services or reports; your violation of any laws or third-party rights.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of Hong Kong Special Administrative Region, without regard to conflict of law principles.

10.2 Dispute Resolution Process

Before initiating formal proceedings, you agree to first contact us at hello@songxinpartners.com to attempt informal resolution. If the dispute is not resolved within 30 days, either party may initiate:

  • For clients within Hong Kong: Litigation in Hong Kong courts
  • For clients outside Hong Kong: Arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), with the seat of arbitration in Hong Kong, in the English language

10.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis only. You waive the right to participate in class actions or class-wide arbitration.

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via: posting on our Site; email notification (for material changes affecting existing customers). Your continued use of our services after changes constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to our services at any time, with or without cause, including for violation of these Terms. Termination does not relieve you of payment obligations for services already rendered.

13. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Songxin Partners regarding the use of our services.
